These Terms & Conditions (“Terms”) govern your access to and use of the Scriptonite application and related services (the “Service”). The Service is operated by Groovyn Fusion LLC (“Groovyn Fusion,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.
If you do not agree, do not use the Service.
You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.
You must create an account to access the Service. You agree to provide accurate information and keep it current. You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials.
The Service is offered on a subscription basis. Payments are processed by Stripe. Subscription fees are billed in advance on a recurring basis.
Refunds are not provided except where required by law or explicitly stated at purchase.
“User Content” includes prompts, business information, files, and other content you provide to the Service. You retain ownership of your User Content. You grant Groovyn Fusion a limited, non-exclusive, worldwide license to host, process, and use your User Content solely to provide and improve the Service.
You represent and warrant that you have all rights and permissions necessary to provide your User Content and to grant the above license.
The Service uses large language models to generate content based on your inputs. Generated content is provided “as is” and may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing, validating, and deciding whether to use generated content. You must not rely on generated content as a substitute for professional advice (e.g., legal, medical, financial).
You agree not to misuse the Service. Prohibited uses include:
We may update acceptable use rules over time.
You may share generated content. User data and content remain private to the account owner by default.
If your subscription is inactive for more than 90 days, your data may be deleted and your account terminated. Inactive accounts may be deleted after 90 days.
We may suspend or terminate your account for violations of these Terms. We will generally provide a warning before termination unless the violation is severe or unlawful. Upon termination, your access to the Service will end and your data may be deleted.
The Service, including its software, design, and branding, is owned by Groovyn Fusion LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our permission.
The Service integrates third-party services, including Stripe, PostHog, Vercel, Neon, Resend, and Cloudflare. Your use of those services may be subject to their terms and policies.
The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, Groovyn Fusion will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service.
To the extent permitted by law, Groovyn Fusion’s total liability for any claims related to the Service will not exceed the amount you paid to us in the 12 months preceding the event giving rise to the claim.
You agree to indemnify and hold Groovyn Fusion harmless from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your User Content, or your violation of these Terms.
These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict of laws principles. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Shelby County, Tennessee, and you consent to their jurisdiction.
We may update these Terms from time to time. We will provide notice of material changes. Continued use of the Service constitutes acceptance of the updated Terms.
